Greene Espel client Vision-Sciences beats challenge to merger with Uroplasty

On March 30, 2015, the shareholders of Vision-Sciences, Inc. voted to merge with Minnesota’s Uroplasty, Inc., to form Cogentix Medical, Inc. The proposed merger was announced in December 2014. Within weeks, a group of plaintiff’s lawyers had sued. On March 26, 2015, just days before the shareholder vote, the Minnesota court heard argument on the plaintiff’s motion to enjoin the shareholder meeting and on the defendants’ motions to dismiss the lawsuit. One day later, the court denied the injunction and dismissed the lawsuit, clearing the way for the shareholder votes to proceed.
